Sales terms and conditions

General conditions of sale. A signed supply agreement prevails over these terms.

1 · Application

These terms apply to all sales of goods by İPM Endüstriyel Madencilik Anonim Şirketi ("Seller") unless a separate written agreement signed by both parties provides otherwise. The buyer's own purchase terms do not apply unless expressly accepted by the Seller in writing.

2 · Quotations and orders

A quotation is an invitation to order and is not binding unless it states a validity period. A contract is formed when the Seller confirms an order in writing.

Prices are quoted per tonne or per unit, exclusive of taxes and duties, on the Incoterms basis stated in the quotation.

3 · Specification and quality

Goods are supplied to the specification stated in the order confirmation. Typical values published in catalogues, data sheets and on this website are indicative and do not form part of the specification unless expressly incorporated.

Each consignment is supplied with a certificate of analysis. The buyer is responsible for determining the suitability of the goods for its own process and for carrying out its own testing.

4 · Delivery

Delivery is made on the Incoterms basis stated in the order confirmation. Delivery dates are estimates unless expressly agreed as binding. Partial deliveries are permitted.

Weights and quantities established at the loading point are decisive unless the parties have agreed a different method of determination.

5 · Packaging

Goods are supplied in bulk, in big bags or in bags on pallet as stated in the order confirmation. Packaging is not returnable unless expressly agreed.

6 · Passing of risk and title

Risk passes in accordance with the agreed Incoterms rule. Title to the goods remains with the Seller until payment has been received in full, to the extent permitted by the law applicable at the place of delivery.

7 · Payment

Payment is due on the terms stated in the order confirmation. Late payment carries interest at the rate provided by applicable law. The buyer may not withhold or set off payment against a claim that has not been accepted in writing or established by a final judgment.

8 · Inspection and claims

The buyer shall inspect the goods on arrival. Visible defects, shortages and damage must be notified in writing within [7] days of arrival; hidden defects within [30] days of discovery and in any case within the shelf life or twelve months of delivery, whichever is shorter.

A claim must identify the consignment, the batch number shown on the packaging and the nature of the defect, and the goods must be kept available for inspection.

9 · Remedies

Where a claim is accepted the Seller shall, at its option, replace the non-conforming goods or credit their invoice value. Further liability is excluded to the extent permitted by applicable law.

10 · Force majeure

Neither party is liable for failure to perform caused by an event beyond its reasonable control, including natural disaster, fire, epidemic, war, civil unrest, strike, interruption of energy supply, port closure and acts of public authority.

11 · Compliance

The buyer shall comply with all applicable export control, sanctions, customs and product safety legislation, and shall not resell or use the goods in breach of them.

12 · Governing law and disputes

These terms are governed by Turkish law, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts and enforcement offices of [city] have jurisdiction.
